User Obligations and Responsibilities

Payment Terms and Billing

Certain services may require payment of fees. All fees are stated in Euros (EUR) unless otherwise specified. You agree to pay all applicable fees as described in your service agreement or as posted on our website.

Payments are due in advance and are non-refundable except as expressly stated in your service agreement. We reserve the right to suspend or terminate services for non-payment of fees.

Intellectual Property

All content, features, and functionality of our services, including but not limited to text, graphics, logos, software, and analytics algorithms, are owned by technonovae or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to use our services for their intended purpose. You may not copy, modify, distribute, sell, or lease any part of our services without our express written permission.

Any feedback, suggestions, or ideas you provide about our services may be used by technonovae without restriction or compensation to you.

Service Availability and Modifications

We strive to maintain the availability of our services, but we do not guarantee uninterrupted or error-free operation. Our services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with or without notice. We may also impose limits on certain features or restrict access to parts of our services.

Limitation of Liability

To the maximum extent permitted by applicable law, technonovae shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from or related to your use of our services.

Our total liability to you for any claims arising from or related to these Terms or our services shall not exceed the amount you have paid to technonovae in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you to the extent prohibited by applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless technonovae, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from or related to your use of our services, your violation of these Terms, or your violation of any rights of a third party.

Governing Law

These Terms are governed by and construed in accordance with the laws of Luxembourg, without regard to its conflict of law principles. Any disputes arising from or related to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Luxembourg.

If you are a consumer residing in the European Union, you may also have rights under your local consumer protection laws, and nothing in these Terms is intended to limit such rights.

Termination

Either party may terminate your access to our services at any time, with or without cause, by providing notice to the other party. Upon termination, your right to use our services will cease immediately.

We may immediately terminate or suspend your access to our services if you violate these Terms, engage in fraudulent activity, or pose a security risk to our systems or other users.

Provisions of these Terms that by their nature should survive termination will remain in effect after termination, including but not limited to intellectual property rights, limitation of liability, and governing law.

Dispute Resolution

We encourage you to contact us first if you have any concerns or disputes regarding our services. Most issues can be resolved through direct communication.

If a dispute cannot be resolved through direct communication, you agree to attempt to resolve the dispute through good faith negotiations before pursuing formal legal action.
